4. Service Agreements

4.1 Project Scope

For software development and consulting services, the specific scope, deliverables, timeline, and pricing will be outlined in a separate Statement of Work (SOW) or Service Agreement.

4.2 Payment Terms

Payment terms will be specified in your Service Agreement. Unless otherwise stated:

• Invoices are due within 30 days of issuance
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified

4.3 Project Changes

Changes to project scope, timeline, or deliverables must be agreed upon in writing and may result in additional fees or timeline adjustments.

5. Warranties and Disclaimers

5.1 Service Warranty

We warrant that our Services will be performed in a professional and workmanlike manner in accordance with industry standards. Any specific warranties for delivered software will be outlined in your Service Agreement.

5.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERGREENIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Evergreenix and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of these Terms.

Specific confidentiality terms for projects will be outlined in Non-Disclosure Agreements (NDAs) or Service Agreements.

9. Termination

9.1 By You

You may stop using our Services at any time. Termination of specific service agreements will be governed by the terms of those agreements.

9.2 By Us

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause or notice, including if you violate these Terms.

9.3 Effect of Termination

Upon termination, your right to use our Services will immediately cease. Any provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any disputes arising from these Terms or our Services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Mumbai, India, or through the courts of Mumbai, India.

11. General Provisions

11.1 Entire Agreement

These Terms, together with any Service Agreements, constitute the entire agreement between you and Evergreenix regarding our Services.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
